By accessing our website, registering for classes, purchasing memberships, attending events, or otherwise using our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

We reserve the right to modify these Terms at any time. Changes become effective when posted to our website. Your continued use of our services constitutes acceptance of modified Terms. We will provide notice of material changes via email or website announcement.

2. Definitions

Website: The Sumtuches website at www.sumtuches.com and any related mobile applications or digital platforms we operate.

Services: All yoga and meditation classes, teacher training programs, wellness retreats, private sessions, online classes, and other offerings provided by Sumtuches.

User or You: Any individual who accesses our Website or uses our Services, whether as a visitor, student, member, or participant in our programs.

Content: All materials available on our Website and Services, including class descriptions, instructional videos, meditation recordings, blog posts, images, text, designs, layouts, and any other information or media.

Membership: A subscription to access our classes and services under one of our membership plans (Essentials, Complete, or Premium Plus).

Student: Any person enrolled in or attending our classes or services.

Instructor: Certified yoga and meditation professionals employed by or contracted with Sumtuches.

Material Terms: The key conditions of this agreement, including limitation of liability, assumption of risk, and dispute resolution provisions.

3. Use of Our Website

3.1 Lawful Purpose

You agree to use our Website and Services only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment. Prohibited behavior includes:

4.1 Service Availability

Sumtuches provides:

In-studio yoga and meditation classes
Online live-streamed and on-demand classes
Private sessions
Wellness retreats
Teacher training programs
Merchandise and retail products

We reserve the right to:

Modify, suspend, or discontinue any Service at any time
Cancel or reschedule classes due to insufficient enrollment, instructor illness, or unforeseen circumstances
Limit class capacity for safety and optimal experience
Change class instructors, times, or descriptions

We will provide reasonable notice of material changes when possible.

4.2 Quoted Prices

All prices are quoted in USD unless otherwise specified. Prices are subject to change without notice, but changes will not apply to memberships or purchases already made. Class packages, memberships, and retreats are priced as follows:

Drop-in classes: $18-$20 per class
Class packages: $85 (5-class), $160 (10-class), $300 (20-class)
Monthly memberships: $79-$199
Wellness retreats: $799-$2,499
Teacher training: $3,500-$6,500

Additional fees may apply for retreats (transportation, meals) or classes (props, towels). We will disclose all fees before purchase.

4.3 Payment Terms

Payment must be received before access to classes or services is granted
We accept all major credit cards, debit cards, PayPal, and other payment methods
Payments are processed securely through third-party payment processors
Monthly memberships renew automatically on the same date each month unless canceled
You are responsible for ensuring payment methods remain valid
Failed payments may result in account suspension until payment is received
We reserve the right to collect outstanding amounts through legal means

4.4 Refund and Cancellation Policy

Class Packages and Drop-in Classes:

Non-refundable once purchased
Unused credits do not expire for 12 months from purchase
Transferable to another person with 30 days' notice

Monthly Memberships:

Cancel anytime with 7 days' notice
No refunds for partial months
Cancellation effective at the end of your billing period
Cancellation can be made through your account or by contacting us

Wellness Retreats:

Refund policy varies by retreat; details provided at booking
Generally: full refund if canceled 60+ days before retreat
50% refund if canceled 30-59 days before
No refund if canceled less than 30 days before
Transfers to future retreats allowed

Teacher Training:

100% refund if canceled 90+ days before start date
50% refund if canceled 30-89 days before
No refund if canceled less than 30 days before
Spots are limited and highly valued

4.5 Taxes

Prices do not include applicable sales tax, which will be added at checkout. You are responsible for any taxes owed related to your purchases. Tax rates vary by location.

5. Intellectual Property

5.1 Company Ownership

All Content on our Website and Services, including but not limited to:

Class descriptions, schedules, and materials
Instructional videos and recordings
Meditation and relaxation audio
Blog posts, articles, and written materials
Logos, trademarks, and brand elements

is owned by or licensed to Sumtuches and is protected by copyright, trademark, and other intellectual property laws.

5.2 Limited License

We grant you a limited, non-exclusive, revocable license to access and use our Content for personal, non-commercial purposes. This license does not permit you to:

Studio Classes:

Recording instructors is prohibited without permission
Violations may result in immediate removal and membership termination

Promotional Purposes:

We may photograph or record classes for promotional use
Your participation in classes implies consent unless you opt out in writing
Students may request their image/video not be used; we will honor requests

Online Classes:

Recording live-streamed classes for personal use is permitted
Sharing, distributing, or selling recordings is prohibited
Violators may face legal action and account suspension

Our Website may contain links to third-party websites and resources. We are not responsible for:

Stress reduction, anxiety relief, or emotional benefits
Spiritual growth or enlightenment
Specific health outcomes
Successful completion of teacher training or certification

9. Limitation of Liability

9.1 Cap on Damages

To the maximum extent permitted by law, Sumtuches's total liability to you arising from any cause, whether in contract, tort, negligence, or otherwise, shall not exceed the amount you paid us in the 12 months preceding the claim (or $100, whichever is greater).

9.2 Excluded Damages

Sumtuches shall not be liable for:

Indirect, incidental, special, or consequential damages
Lost profits, revenue, data, or business opportunities
Damage to reputation or goodwill
Damages arising from:
- Your inability to use our Services
- Unauthorized access to your account
- Third-party actions or content
- Changes we make to Services or Website
- Suspension or termination of your account

9.3 Injury or Property Damage

You assume all risk of personal injury or property damage arising from your participation in our Services, including yoga classes. This includes injuries from:

Physical exertion during classes
Equipment use
Interactions with other students or instructors
Falls, strains, or other accidents
Allergic reactions to oils, scents, or materials
Conditions in our studio (temperature, humidity, lighting)

Except in cases of gross negligence or willful misconduct, we are not liable for such injuries.

Your access to all Services is revoked
Unused credits or memberships are forfeited (no refunds)

Your obligations under these Terms continue
Survival provisions remain in effect

12. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles. All disputes arising from or related to these Terms shall be subject to California law.

You consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California. You waive any objection to venue or inconvenient forum.

13. Dispute Resolution

13.1 Informal Resolution

Before pursuing formal action, you and Sumtuches agree to attempt to resolve disputes through good-faith negotiation. You must contact us at [email protected] with details of your dispute. We will respond within 30 days and work toward resolution.

13.2 Binding Arbitration

If informal resolution fails, you and Sumtuches agree to binding arbitration rather than court proceedings, except as provided below. Arbitration will be conducted by JAMS (Judicial Arbitration and Mediation Services) under its Comprehensive Arbitration Rules.

Arbitration Terms:

Each party bears its own costs
Arbitrator's decision is final and binding
Proceedings are confidential
Right to appeal is limited
Class actions are prohibited

13.3 Exceptions to Arbitration

Arbitration does not apply to:

Small claims court actions
Intellectual property enforcement
Requests for injunctive relief
Claims involving personal injury or property damage

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is impossible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

The invalidity of one provision does not invalidate other provisions.
